1. Agreement

These Terms govern your access to and use of the K&L Research Supply website and your purchase of any products from it. By placing an order you agree to these Terms in full. If you do not agree, do not place an order.

2. Research use only

All products sold on this site are supplied exclusively for in-vitro laboratory and qualified research use. They are not drugs, medicines, dietary supplements, cosmetics or food. They are not intended to diagnose, treat, cure or prevent any disease, and they are not for human or veterinary consumption or administration in any form.

By placing an order you represent and warrant that:

• You are at least 21 years of age.
• You are a qualified researcher, or are purchasing on behalf of a research institution or business engaged in legitimate research.
• You will use the material solely for lawful in-vitro research, and will not administer it to humans or animals.
• You will not resell, repackage or redistribute the material for human or veterinary use.
• You are solely responsible for the safe handling, storage, use and disposal of the material, and for complying with all laws applicable to you.

3. Eligibility and jurisdiction

You are responsible for confirming that the material you order may be lawfully purchased, imported and possessed where you are. We do not ship to jurisdictions where a product is prohibited. Orders may be refused or cancelled at our discretion, including where we believe the material may be intended for human use.

4. Orders, pricing and availability

All orders are subject to acceptance and product availability. Prices are listed in USD and may change without notice. We reserve the right to correct pricing errors and to cancel any order affected by an obvious error, with a full refund.

5. Shipping, returns and refunds

Shipping terms are set out in the Shipping Policy and return terms in the Refund Policy. Both are incorporated into these Terms by reference.

6. Analytical testing

Analytical testing is performed by or on behalf of the manufacturer, and the resulting Certificate of Analysis is supplied to us. K&L Research Supply does not currently commission separate independent laboratory testing for every batch. Any result we describe is evidence about that batch, not a measurement of any individual vial, and a single result may relate to stock supplied over an extended period. Testing establishes the identity and purity of the tested unit only. It is not a safety assessment and makes no representation as to suitability for any particular application. We do not undertake to supply analytical documentation with any order.

7. No warranties

Except for the express representation that material conforms to the product as described on this site, products are supplied "as is" without warranty of any kind, express or implied, including any implied warranty of merchantability or fitness for a particular purpose, to the fullest extent permitted by law.

8. Limitation of liability

To the fullest extent permitted by law, K&L Research Supply's total liability arising out of or relating to any product or these Terms is limited to the amount you paid for the product giving rise to the claim. We are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss arising from misuse of the material, including any use inconsistent with the research-use-only restriction above.

9. Indemnity

You agree to indemnify and hold harmless K&L Research Supply, its officers, employees and suppliers from any claim, loss, liability or expense arising out of your use, handling, storage, resale or disposal of any product purchased from this site, or your breach of these Terms.

10. Intellectual property

All site content, including the K&L Research Supply name, logo and product photography, is owned by K&L Research Supply LLC and may not be reproduced without written permission.

11. Changes

We may update these Terms at any time. The version in force is the one published on this page at the time your order is placed.

12. Governing law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or to any purchase from this site will be brought exclusively in the state or federal courts located in Montgomery County, Ohio, and you consent to the personal jurisdiction of those courts.

13. Dispute resolution and arbitration

Except for claims that qualify for small-claims court, and except for either party's right to seek injunctive relief to protect intellectual property, any dispute arising out of or relating to these Terms or to any purchase from this site will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Montgomery County, Ohio. Judgment on the award may be entered in any court of competent jurisdiction.

You may opt out of this arbitration agreement by emailing contact@klresearchsupply.com within 30 days of your first order, stating your name, order number and that you are opting out. Opting out does not affect any other part of these Terms.

14. Class action and jury trial waiver

Disputes will be brought only in your individual capacity. You and K&L Research Supply LLC each waive any right to bring or participate in a class, collective, consolidated or representative action, and each waive any right to a trial by jury. If the waiver in this section is held unenforceable as to a particular claim, that claim is severed and heard in court, and the remainder of this section continues to apply.

15. Force majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including manufacturing or supply interruption, carrier delay or failure, natural disaster, epidemic, labour disruption, war, civil unrest, act of government, or failure of utilities or communications networks. Where such an event prevents fulfilment, we will notify you and refund any amount paid for material we cannot supply.

16. Severability and entire agreement

If any provision of these Terms is held invalid or unenforceable, that provision is limited or severed to the minimum extent necessary and the remaining provisions continue in full force. A failure to enforce any provision is not a waiver of it.

These Terms, together with the Shipping Policy, Refund Policy and Privacy Policy referenced within them, constitute the entire agreement between you and K&L Research Supply LLC in relation to your use of this site and any purchase from it, and supersede any prior understanding. You may not assign your rights under these Terms; we may assign ours in connection with a merger, acquisition or sale of assets.
